These Terms of Use (the "Terms") govern your access to and use of the artificial intelligence-enabled coaching product ("Sona") and corresponding mobile application (the "App") provided by Digital Therapeutics, Inc. ("Company", "we", "our" or "us"), and any content, tools, features, and functionality offered on or through Sona and the App (collectively, the "Sona Services"), and constitute "additional terms" under Company's Terms of Use found here: https://www.pelagohealth.com/terms/ ("Pelago Health Terms of Use"). For purposes hereof, "Services", "Website", and "Website Content", as those terms are used in the Pelago Health Terms of Use, shall include the Sona Services. The Pelago Health Terms of Use, together with these Terms, will be referred to as the "Sona Terms of Use".
Please read the Sona Terms of Use carefully, as they include important information about your legal rights. The Sona Terms of Use become binding and effective on you when you click "I agree" or a similar button or check box in the user interface of the App.
You may use the Sona Services only if you are eighteen (18) years of age or older and capable of forming a legally binding contract with Company under applicable law, and not otherwise barred from using the Sona Services under applicable law, rules, or regulations in the applicable state in which you reside.
If you do not understand or agree to the Sona Terms of Use, you should not click "Agree" (or you can click "Decline") in which case you will not be permitted to use the Sona Services.
Sona is designed to support individuals navigating everyday wellness challenges through conversational, voice- or chat-based interactions. Leveraging artificial intelligence technology, Sona seeks to provide users with accessible, personalized guidance related to subclinical, lower-acuity wellness topics such as stress, sleep, burnout, relationships, and similar day-to-day concerns. Through your engagement with the Sona Services, we gain invaluable insights, enabling us to continually improve and refine the functionality, quality, and effectiveness of Sona over time.
IF YOU DO NOT WANT TO ENGAGE WITH AN ARTIFICIAL INTELLIGENCE COACH OR PROVIDE US WITH CERTAIN INSIGHTS AND DATA IN ACCORDANCE WITH THE SONA TERMS OF USE AND OUR PRIVACY POLICY, OR ALLOW US TO USE YOUR INPUTS DEFINED BELOW AS "USER INPUTS", THEN DO NOT USE THE SONA SERVICES OR ENGAGE WITH SONA.
Given the early state of this technology, we also acknowledge that there are areas that we will need to continually improve on so that we can continuously enhance the performance and usability of the Sona Services. As part of that, you recognize that:
We may update the Sona Terms of Use from time to time in our sole discretion. If we do, we will let you know by posting the updated Sona Terms of Use to the App and/or may also send other communications. It is important that you review the Sona Terms of Use whenever we update them or you use the Sona Services. If you continue to use the Sona Services after we have posted updated Sona Terms of Use it means that you accept and agree to the changes. If you do not agree to be bound by the changes, you may not use the Sona Services anymore. Because the Sona Services are evolving over time we may change or discontinue all or any part of the Sona Services, at any time and without notice, at our sole discretion.
The Sona Services may allow you to engage with Sona through conversational interactions and to input messages, text, files, documents, graphics, images, photos, information, audio, video, and other materials in connection with your use of the Sona Services. Anything (other than Feedback (as defined in the Pelago Health Terms of Use) that you submit, upload, or otherwise make available through the Sona Services is referred to as "User Inputs." For purposes hereof, "User Content", as that term is used in the Pelago Health Terms of Use, shall include User Inputs. The Sona Services use automated, artificial intelligence-powered systems and tools, and not humans, to process User Inputs and to generate responses, insights, or guidance based on such User Inputs ("Output").
Company does not claim any ownership interest in or to the User Inputs. By using the Sona Services and uploading the User Inputs, you hereby grant to Company and its licensors, licensees, designees and assignees a non-exclusive, transferable, worldwide, royalty-free license, with the right to sublicense through multiple tiers, to use, copy, modify, create derivative works based upon, distribute, publicly display, and publicly perform your User Inputs in connection with operating, providing, improving and training the Sona Services and developing new products and services. Please note that we will de-identify and/or aggregate User Inputs prior to use to train and improve the Sona Services or to develop new products and services.
You acknowledge that Company may aggregate and de-identify User Inputs ("Aggregated Datasets"), and grant third parties the right to do the same, and you hereby acknowledge and agree that, without limiting your rights in or to your individual User Inputs, Company shall own all right, title and interest in and to any Aggregated Datasets.
You may not direct the Sona Services to generate any Output in violation of any applicable intellectual property right, contractual restriction or law, or to create harmful, offensive, discriminatory or misleading Output. You may not misrepresent the source of any Output or the fact that it was generated by artificial intelligence. You acknowledge that due to the nature of artificial intelligence tools, other users of the Sona Services may create and use their own Output that is similar to or the same as your Output, and you agree that such other users can use their own individually-created Output for their own internal, non-commercial purposes.
Company may restrict access to the Sona Services, including without limitation the number and/or frequency of User Inputs you are permitted to submit, in its sole discretion. Company may monitor your use of the Sona Services for any and all purposes, including without limitation to ensure compliance with applicable law and Company policies and guidelines.
If you comply with these Terms, Company grants to you a limited non-exclusive, non-transferable license, with no right to sublicense, to download and install the App on your personal computers, mobile handsets, tablets, wearable devices, and/or other devices and to run the App solely for your own personal non-commercial purposes. Except as expressly permitted in these Terms, you may not: (i) copy, modify or create derivative works based on the App; (ii) distribute, transfer, sublicense, lease, lend or rent the App to any third party; (iii) reverse engineer, decompile or disassemble the App (unless applicable law permits, despite this limitation); or (iv) make the functionality of the App available to multiple users through any means.
This Section applies to any App that you acquire from the Apple App Store or use on an iOS device. Apple has no obligation to furnish any maintenance and support services with respect to the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the App purchase price to you (if applicable) and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App. Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and use of it, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation. Apple is not responsible for the investigation, defense, settlement and discharge of any third-party claim that your possession and use of the App infringe that third party's intellectual property rights. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of the Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof. You represent and warrant that (1) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a terrorist-supporting country; and (2) you are not listed on any U.S. Government list of prohibited or restricted parties. You must also comply with any applicable third-party terms of service when using the App.
Without limiting the "Third Party Links and Features" section of the Pelago Health Terms of Use, you acknowledge that the Sona Services (including the App) may contain Third Party Services (as defined in the Pelago Health Terms of Use). In particular, the Sona Services incorporate products and services provided by Amazon Web Services, Inc. ("AWS") and Eleven Labs Inc. ("ElevenLabs"). You acknowledge and agree that your use of the Sona Services is subject to AWS's and ElevenLabs' applicable terms and policies, available at aws.amazon.com/service-terms and elevenlabs.io (collectively, the "AWS Terms" and "ElevenLabs Terms"). By using the Sona Services, you agree to comply with the AWS Terms and ElevenLabs Terms. If you do not agree to the AWS Terms and ElevenLabs Terms, you may not use the Sona Services.
To protect your privacy, please exercise caution in uploading or entering your personal information into Sona, including without limitation your name, address, phone number, email address, social security number or any other data that could be used to identify you. Any User Inputs or personal information you provide, along with any Output or related connection and technical data, may be provided to our third-party service providers who are allowed to collect and use such information only for Company's purposes. All usage of any of your information, content or data shall be consistent with our Privacy Policy. You agree to enter into data protection agreements in the form and format provided by Company if required by privacy and data security laws.
WITHOUT LIMITING ANY OF THE WARRANTY DISCLAIMERS IN THE PELAGO HEALTH TERMS OF USE:
YOU ACKNOWLEDGE THAT PRODUCTS BUILT USING LARGE LANGUAGE MODELS MIGHT LACK GROUNDING AND FACTUALITY IN REAL-WORLD KNOWLEDGE, PHYSICAL PROPERTY OR ACCURATE UNDERSTANDING. THIS LIMITATION CAN LEAD TO MODEL HALLUCINATIONS WHICH MIGHT GENERATE OUTPUTS THAT ARE PLAUSIBLE-SOUNDING BUT FACTUALLY INCORRECT, IRRELEVANT, INAPPROPRIATE OR NONSENSICAL. YOU ACKNOWLEDGE THAT THE SONA SERVICES MAY GENERATE OUTPUT CONTAINING OFFENSIVE, INCORRECT, BIASED OR INCOMPLETE INFORMATION. NEITHER COMPANY, NOR ANY OF ITS LICENSORS, LICENSEES, AGENTS, OFFICERS, DIRECTORS OR EMPLOYEES, SHALL HAVE ANY RESPONSIBILITY OR LIABILITY TO YOU FOR INACCURATE, INCORRECT, BIASED OR INCOMPLETE OUTPUT, OR THE INFRINGEMENT, MISAPPROPRIATION OR OTHER VIOLATION OF THE RIGHTS OF ANY THIRD PARTY IN YOUR USE OF ANY OUTPUT. FOR THE AVOIDANCE OF DOUBT, NEITHER COMPANY, NOR ANY OF ITS LICENSORS, LICENSEES, AGENTS, OFFICERS, DIRECTORS OR EMPLOYEES, TAKE ANY RESPONSIBILITY OR ASSUME ANY LIABILITY FOR ANY CONTENT THAT YOU, ANOTHER USER, OR A THIRD PARTY CREATE, UPLOAD, POST, SEND, RECEIVE OR STORE ON OR THROUGH THE SONA SERVICES, INCLUDING WITHOUT LIMITATION ANY OUTPUT.
Further, as stated above, you must not rely on Output without fact-checking the content, nature, tone and accuracy thereof on your own first, using your human judgement or if applicable, consulting with a licensed therapist or healthcare professional. The guidance and responses provided by Sona are for informational, non-commercial purposes only and should not be considered as professional or medical advice. We strongly encourage you to consult with a qualified professional for any mental health concerns or decisions regarding your well-being. ANY ACTIONS YOU TAKE BASED ON THE OUTPUT ARE AT YOUR SOLE RISK.
In the event of a conflict or inconsistency between these Terms and the Pelago Health Terms of Use, these Terms will govern, but solely with respect to the Sona Services.
